1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your access to and use of the Financial
Mastery Framework™ website, online learning platform, educational systems, memberships,
events, communities, mentorship programmes, training services, and associated products
and services operated by Zest Management Consultancies FZCO trading as Financial
Mastery Framework™ (“FMF”, “we”, “us”, or “our”).
By accessing our website, registering for any event, joining any membership, purchasing
any programme, participating in any community, or otherwise using our Services, you agree
to be legally bound by these Terms together with our Privacy Policy, Refund Policy,
Disclaimer, Cookies Policy, and any programme-specific agreements or additional policies
provided to you.

If you do not agree with these Terms, you must not access or use our Services.

 

2. DEFINITIONS

“Academy” means the wider Financial Mastery Framework™ educational ecosystem.
“Ambassador” means any person or entity authorised by FMF to promote products or
services on behalf of FMF.
“Content” means all materials provided by FMF including videos, documents, templates,
systems, presentations, recordings, diagrams, frameworks, downloads, branding,
trademarks, intellectual property, and educational materials.
“Delegate” means any purchaser, attendee, member, student, participant, visitor, guest, or
user engaging with FMF.
“Events” means any webinar, seminar, workshop, networking event, mastermind, retreat,
conference, mentoring session, Zoom call, online training, or in-person experience operated
by FMF.
“Member” means any person enrolled into any FMF membership, programme, or belt
structure.
“Platform” means any website, portal, online learning platform, application, Zoom room,
online community, communication system, or learning environment operated by FMF.
“Services” means all products, programmes, memberships, training, education, mentorship,
events, and services provided by FMF.
“Website” means www.financialmasteryframework.com and any associated domains or
platforms operated by FMF.

 

3. ELIGIBILITY

You must be at least 18 years old to access or use FMF Services.
By using FMF, you confirm that:
1. You are legally capable of entering into binding contracts;
2. The information you provide is accurate and complete;
3. You will comply with all applicable laws and regulations;
4. You are not accessing FMF on behalf of a competitor for the purpose of copying, extracting, replicating, or commercially exploiting FMF systems, structures, or intellectual property.
FMF reserves the right to refuse access, membership, participation, or service to any person or organisation at its sole discretion.

 

4. EDUCATIONAL PURPOSE ONLY

FMF operates strictly as an education, training, mentorship, and networking business.
All content, materials, examples, discussions, case studies, demonstrations, mentoring, presentations, and educational resources are provided solely for informational and educational purposes.
FMF does not provide:
1. Financial advice;
2. Investment advice;
3. Legal advice;
4. Tax advice;
5. Regulated mortgage advice;
6. FCA-regulated investment services within the United Kingdom;
7. Financial services, securities activities, or regulated investment activities governed by the Securities and Commodities Authority (SCA), Dubai Financial Services Authority (DFSA), Financial Services Regulatory Authority (FSRA), or any equivalent financial regulatory authority in the United Arab Emirates or elsewhere;
8. Personal financial planning services.
Nothing within FMF constitutes regulated financial advice or regulated investment activity.
Members remain solely responsible for obtaining independent professional advice before making financial, legal, investment, borrowing, tax, property, or business decisions.


5. NO INVESTMENT PLATFORM OR REGULATED ACTIVITY

FMF operates strictly as an education, mentorship, networking, and training ecosystem.
FMF does not operate as:
1. An investment platform;
2. An investment syndicate;
3. An investment club;
4. A securities exchange;
5. A brokerage;
6. A crowdfunding platform;
7. A capital raising vehicle;
8. A collective investment scheme;
9. A managed investment vehicle;
10. A financial advisory business;
11. A regulated financial services provider.
FMF does not arrange, broker, structure, negotiate, promote, approve, recommend, manage, or facilitate investments or securities transactions on behalf of members.
Any business arrangements, investments, joint ventures, partnerships, lending arrangements, acquisitions, or commercial relationships entered into between members are undertaken entirely independently from FMF and strictly at the parties’ own risk.
FMF does not endorse, verify, guarantee, approve, recommend, or assess the suitability, legality, profitability, viability, or safety of any opportunity, business, project, transaction, investment, or arrangement discussed within the FMF ecosystem.
Members remain solely responsible for conducting their own due diligence and obtaining independent professional advice.


6. NO GUARANTEED RESULTS

FMF makes no guarantee regarding:
1. Income;
2. Profitability;
3. Financial success;
4. Business growth;
5. Investment performance;
6. Property acquisition;
7. Wealth creation;
8. Debt reduction;
9. Lifestyle outcomes.
Any examples of deals, income, business growth, acquisitions, profits, assets, or financial results shared by FMF, its founders, members, ambassadors, speakers, or guests are illustrative only and should not be interpreted as guarantees or typical outcomes.
Results vary significantly based upon:
1. Individual effort;
2. Market conditions;
3. Experience;
4. Risk tolerance;
5. Capital availability;
6. Execution capability;
7. Economic conditions;
8. External circumstances beyond FMF’s control.

 

7. MEMBER RESPONSIBILITY

FMF is an active educational framework and not a passive entertainment platform.
Members acknowledge that meaningful outcomes require participation, implementation, independent decision-making, and personal responsibility.
Members accept that:
1. Attendance alone does not create results;
2. Information without execution has limited value;
3. FMF cannot implement strategies on behalf of members;
4. All actions taken using information obtained through FMF remain the sole responsibility of the member.

 

8. BELT STRUCTURE AND MEMBERSHIP ACCESS

FMF may operate tiered educational structures including, but not limited to:
1. White Belt;
2. Green Belt;
3. Brown Belt;
4. Black Belt;
5. Red Belt;
6. Additional belt, stripe, certification, or invitation-only structures introduced in future.
Membership progression is not guaranteed.
FMF reserves the right to:
1. Refuse advancement;
2. Remove belt status;
3. Require reassessment;
4. Introduce competency requirements;
5. Modify programme structures;
6. Restrict access to specific content, communities, or events.
Certain levels may require application, interview, assessment, invitation, or demonstration of competency.

 

9. COMMUNITY STANDARDS AND MEMBER CONDUCT

Members agree not to:
1. Harass, threaten, abuse, or intimidate others;
2. Share confidential member information externally;
3. Promote illegal activity;
4. Use FMF communities primarily for unsolicited sales activity;
5. Record or distribute private discussions without permission;
6. Damage the reputation of FMF or its members;
7. Circumvent FMF commercially;
8. Copy or replicate FMF systems, methodologies, branding, or intellectual property;
9. Share login details or permit unauthorised access;
10. Attempt to extract or commercially exploit FMF content or systems.
FMF reserves the absolute right to suspend or terminate membership, access, or participation without refund where behaviour is deemed harmful to the FMF community, operations, reputation, members, or brand.

 

10. COMMUNITY SOLICITATION AND INVESTMENT RESTRICTIONS

Members must not use FMF platforms, events, communities, or communication systems to:
1. Promote securities offerings;
2. Raise investment capital;
3. Solicit investors;
4. Offer passive investment opportunities;
5. Market investment schemes;
6. Conduct unauthorised financial promotions;
7. Promote collective investment arrangements;
8. Offer regulated financial products or services;
9. Promote cryptocurrency token sales or unregulated securities offerings;
10. Conduct financial activities requiring regulatory authorisation.
FMF reserves the absolute right to remove, restrict, moderate, suspend, or terminate any content, communication, participation, or membership where it reasonably believes such activity may:
1. Create regulatory exposure;
2. Breach financial promotion laws;
3. Breach securities laws;
4. Harm the FMF brand;
5. Mislead members;
6. Create legal or reputational risk for FMF or its members.
FMF may remove any member, speaker, ambassador, or guest from the ecosystem without refund where such activity is suspected.

 

11. EVENTS, RETREATS, AND LIVE EXPERIENCES

FMF may organise live events, workshops, networking meetings, retreats, seminars, masterminds, educational experiences, mentoring sessions, conferences, and training events in various jurisdictions.
All event details, including venues, speakers, schedules, timings, dates, formats, and delivery methods are subject to change where reasonably necessary.
FMF reserves the right, at its sole discretion, to:
1. Change event dates;
2. Change venues;
3. Change locations;
4. Substitute speakers;
5. Amend schedules;
6. Alter event content;
7. Transition an event from physical to online delivery;
8. Reschedule events;
9. Cancel events where operationally necessary.
Such changes may occur due to circumstances including, but not limited to:
1. Venue issues;
2. Health and safety concerns;
3. Force majeure events;
4. Speaker illness or unavailability;
5. Government restrictions;
6. Travel disruption;
7. Technology failures;
8. Security concerns;
9. Insufficient attendance levels;
10. Circumstances beyond FMF’s reasonable control.
Delegates acknowledge and agree that:
1. Event access forms part of a wider educational ecosystem and is not solely payment for a specific venue, date, or speaker;
2. Reasonable event changes shall not constitute grounds for refund;
3. FMF shall not be liable for accommodation costs, travel costs, flights, visas, loss of earnings, or third-party expenses incurred by delegates;
4. Delegates remain responsible for arranging suitable insurance and flexible travel arrangements where appropriate.
Refund eligibility relating to events shall be governed exclusively by the FMF Refund Policy.

 

12. RECORDINGS, MEDIA CONSENT, AND PLATFORM MONITORING

Events, webinars, Zoom calls, mentorship sessions, communities, and online environments may be recorded.
By participating, you grant FMF a perpetual, worldwide, royalty-free licence to use your image, likeness, voice, comments, testimonials, participation, photographs, and recordings for educational, promotional, marketing, and commercial purposes.
FMF reserves the right to monitor, moderate, review, record, retain, and remove communications occurring within FMF-operated platforms, communities, Zoom environments, messaging groups, and online learning systems for the purposes of:
1. Regulatory protection;
2. Community safety;
3. Compliance monitoring;
4. Brand protection;
5. Quality assurance;
6. Investigating misconduct;
7. Investigating unauthorised solicitation or investment activity.
Participation within FMF constitutes consent to such monitoring and recording.

 

13. MEMBER INTERACTIONS AND THIRD-PARTY DEALINGS

FMF may provide networking environments where members communicate independently.
FMF is not responsible for:
1. Business arrangements between members;
2. Investment decisions between members;
3. Partnerships formed between members;
4. Loans, investments, acquisitions, or transactions between members;
5. Losses arising from member-to-member activity.
Any arrangement entered into between members is entirely independent from FMF.
FMF does not broker investments, securities, or regulated financial products.

 

14. NO ENDORSEMENT OF MEMBER OPPORTUNITIES

The existence of discussions, opportunities, businesses, presentations, case studies, introductions, or commercial activity within the FMF ecosystem shall not constitute:
1. Approval;
2. Endorsement;
3. Recommendation;
4. Verification;
5. Due diligence;
6. Suitability assessment;
7. Investment recommendation;
8. Regulatory approval;
9. Commercial sponsorship.
Members acknowledge that all transactions and external discussions occur entirely at their own risk.

 

15. INTELLECTUAL PROPERTY

All FMF intellectual property remains exclusively owned by FMF and/or its licensors.
This includes, without limitation:
1. Financial Mastery Framework™;
2. FMF™;
3. Belt structures;
4. Stripe systems;
5. Training systems;
6. Educational methodologies;
7. Framework architecture;
8. Presentations;
9. Documents;
10. Videos;
11. Downloads;
12. Branding;
13. Logos;
14. Community systems;
15. Certification structures.
Members may not:
1. Copy;
2. Reproduce;
3. Republish;
4. Resell;
5. License;
6. Teach;
7. Repackage;
8. Commercially exploit;
9. Reverse engineer;
10. Distribute
any FMF content without prior written permission.
Unauthorised use may result in legal action.

 

16. RESTRICTIONS ON USE OF FMF BRAND

Members, ambassadors, speakers, or third parties may not use the FMF name, branding, logos, certifications, belt status, trademarks, or association with FMF to:
1. Promote investments;
2. Raise capital;
3. Market securities;
4. Solicit funds;
5. Imply regulatory approval;
6. Suggest FMF endorsement;
7. Create the impression of partnership approval;
8. Represent themselves as acting on behalf of FMF without written authority.
Unauthorised use may result in immediate removal, legal action, injunctive relief, and claims for damages.

 

17. ANTI-CIRCUMVENTION

Members agree not to use relationships, introductions, systems, opportunities, suppliers, contacts, strategies, or information obtained through FMF to commercially bypass, undermine, replicate, or compete against FMF or its associated ecosystem.

 

18. PLATFORM ACCESS

FMF reserves the right to modify, restrict, suspend, remove, or discontinue platform access, content, or functionality at any time.
Access may be revoked where:
1. Payments fail;
2. Membership expires;
3. Behaviour breaches these Terms;
4. FMF reasonably believes platform integrity, compliance, or community safety is at risk.

 

19. PAYMENTS

All fees are payable in accordance with the payment terms selected at purchase.
Failure to maintain payment obligations may result in:
1. Immediate suspension;
2. Removal from communities;
3. Revocation of access;
4. Restriction from events;
5. Withholding of certifications;
6. Debt recovery action;
7. Legal proceedings.
Where instalment plans are agreed, members remain liable for the full contracted amount.
Failure to utilise the Services shall not remove payment obligations.

 

20. REFUNDS

Refunds shall be governed exclusively by the FMF Refund Policy in force at the time of purchase.
By purchasing any FMF product or service, you agree to the applicable Refund Policy.

 

21. BUSINESS AND INVESTMENT RISK ACKNOWLEDGEMENT

Members acknowledge that entrepreneurship, property acquisition, investing, borrowing, and business ownership involve substantial financial risk.
Members understand they may:
1. Lose money;
2. Incur debt;
3. Experience business failure;
4. Suffer investment losses;
5. Experience adverse financial outcomes.
FMF shall not be liable for:
1. Investment losses;
2. Business losses;
3. Property losses;
4. Borrowing losses;
5. Tax liabilities;
6. Market fluctuations;
7. Failed transactions;
8. Economic conditions;
9. Commercial disputes.
All decisions remain the sole responsibility of the member.

 

22. DISCLAIMER OF LIABILITY

To the maximum extent permitted by law:
1. FMF excludes all implied warranties;
2. Services are provided on an “as is” and “as available” basis;
3. FMF shall not be liable for indirect, consequential, incidental, or special losses;
4. FMF shall not be liable for loss of profits, revenue, opportunity, goodwill, business interruption, or investment losses;
5. FMF shall not be liable for decisions made by delegates using information obtained through FMF.
Nothing within these Terms excludes liability that cannot legally be excluded under applicable law.

 

23. INDEMNITY

You agree to indemnify and hold harmless FMF, its officers, directors, contractors, employees, ambassadors, presenters, representatives, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:
1. Your breach of these Terms;
2. Your misuse of FMF content;
3. Your unlawful conduct;
4. Your business or investment activities;
5. Disputes between you and other members.

 

24. FORCE MAJEURE

FMF shall not be liable for delays, interruptions, cancellations, or failures caused by events beyond reasonable control including:
1. Natural disasters;
2. Pandemics;
3. Government restrictions;
4. War;
5. Civil unrest;
6. Terrorism;
7. Venue failures;
8. Technology outages;
9. Utility failures;
10. Travel disruption;
11. Speaker illness.

 

25. TERMINATION

FMF may terminate access, participation, or membership immediately where:
1. These Terms are breached;
2. Conduct damages the FMF brand or community;
3. Payments are not maintained;
4. Intellectual property misuse is suspected;
5. Fraudulent or deceptive conduct is identified;
6. Regulatory or legal exposure is reasonably suspected.
Termination may occur without refund.

 

26. PRIVACY

Your personal data shall be processed in accordance with the FMF Privacy Policy.

 

27. REGULATORY COMPLIANCE

FMF reserves the right to take any action reasonably necessary to maintain compliance with applicable laws, regulations, platform requirements, or regulatory guidance in any jurisdiction in which FMF operates or markets Services.
This may include:
1. Restricting access by jurisdiction;
2. Removing content;
3. Changing delivery methods;
4. Restricting discussions;
5. Suspending accounts;
6. Implementing compliance procedures;
7. Requesting identity verification where reasonably necessary.

 

28. SEVERABILITY

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.

 

29. ENTIRE AGREEMENT

These Terms, together with all referenced policies and agreements, constitute the entire agreement between FMF and the member regarding the Services.

30. SURVIVAL OF PROVISIONS

The following provisions shall survive termination, cancellation, suspension, or expiry of membership:
1. Intellectual property protections;
2. Confidentiality obligations;
3. Indemnities;
4. Non-circumvention obligations;
5. Liability exclusions;
6. Governing law provisions;
7. Payment obligations;
8. Restrictions on use of FMF content and branding.

 

31. GOVERNING LAW

These Terms shall be governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
Nothing within these Terms removes any mandatory consumer rights which cannot legally be excluded under applicable law.
